Terms of Service

Plain summary. These terms govern the website we build for you. We agree a scope, you pay, we deliver within the stated timeline, you get intellectual-property ownership of the final site once paid in full. We stay responsible for professional conduct; you stay responsible for the accuracy of claims about your qualifications and practice. Singapore law governs this agreement. The full terms are below.

1. Parties and scope

These Terms of Service ("Terms") form a binding agreement between:

  • Zeta Media Pte Ltd (UEN 201200615E), a company incorporated in Singapore, with its registered office at 1 North Bridge Road #11-06, Singapore 179094, trading as Dr. by Zelix ("Zeta Media", "we", "us"); and
  • the individual medical professional or the entity identified on the relevant order, invoice, or onboarding form as the engaging party ("Client", "you").

These Terms apply each time you engage us to produce a Dr. by Zelix website or related deliverable. By paying the initial invoice, submitting the onboarding form, or otherwise confirming your order, you accept these Terms.

2. Services

Our services consist of the tier described on drzelix.com at the time of your order (Professional, Authority, or Legacy), and any add-ons confirmed in writing. Deliverables typically include:

  • A structured discovery and onboarding questionnaire.
  • Research on your public professional record and practice.
  • Editorial copywriting, bespoke design, and build of a single-page personal website.
  • Domain registration and hosting setup (one year included in each tier).
  • Compliance review against the applicable medical advertising framework for your jurisdiction.
  • The number of revision rounds and post-launch support days stated for your tier.

Any item not explicitly included in your tier or add-on list is out of scope.

3. Fees and payment

  • Fees are as stated on drzelix.com or as quoted in writing. Unless stated otherwise, fees are denominated in US dollars and exclude taxes.
  • Fees are payable in full in advance, or via a deposit and final-balance schedule where agreed in writing.
  • Singapore goods and services tax (GST) or equivalent is added where legally required.
  • We begin work once the invoice is paid and the onboarding form is submitted.
  • If a scheduled payment is not received by its due date, we may pause work and extend the delivery timeline accordingly.

4. Project timeline

Our standard build time is 5 to 7 business days from the moment you submit your onboarding form, subject to the revision rounds in your tier. Timeline depends on your prompt review of drafts. If a draft sits with you awaiting feedback for more than 14 days, the project is paused and a restart fee may apply at our discretion.

5. Your obligations

To allow us to deliver on time, you agree to:

  • Provide accurate and complete information in the onboarding form and story questionnaire.
  • Supply any required photographs, logos, certificates, or other source material within a reasonable time after we request them.
  • Review drafts within 7 calendar days of receiving them and give consolidated written feedback.
  • Only provide us with content you have the right to use, including photographs (with the photographer's written permission where needed) and any quotes or testimonials from colleagues, patients, or third parties (with their written consent where required). Note that medical-advertising regulations in many jurisdictions, including Singapore, prohibit patient testimonials and before-and-after imagery on the licensee's own channels regardless of consent; we will remove such content during compliance review even where you have secured consent.
  • Comply with the rules of your professional body at all times, including in any statement you approve for publication on your website.

6. Compliance review

Every Dr. by Zelix website undergoes a compliance review against the relevant medical advertising framework, such as the Singapore Healthcare Services Act 2020 and the Healthcare Services (Advertisement) Regulations 2021 (including MOH's guidance updated 22 November 2024), the Singapore Medical Council's Ethical Code and Ethical Guidelines, the Singapore Dental Council Ethical Code and Ethical Guidelines 2018, the Medical Council of Hong Kong code, the AHPRA advertising guidelines (including the 2024 updates), the UK General Medical Council standards and CAP Code, the Medical Council of New Zealand Statement on Advertising, the Malaysian Medical Council code, and the US FTC endorsement guides (as applicable to your jurisdiction).

Our compliance review is a professional service, not a legal opinion, and is not a substitute for advice from a qualified lawyer or your professional body. You remain ultimately responsible for what is published under your name. If we advise a change for compliance reasons, you agree to accept the change or to seek independent advice.

7. Intellectual property

  • Final site. Once you have paid all fees in full, we assign to you the copyright in the final code, editorial copy, and design assets we create specifically for your website. The domain is registered in your name where the registrar allows.
  • Our pre-existing work. We retain ownership of our templates, design systems, component libraries, tooling, and research pipeline. Your licence to these is limited to your use of the delivered website and does not permit resale.
  • Third-party assets. Third-party fonts, icons, stock imagery, and open-source libraries remain licensed under their respective licences; those licences pass through to you with the deliverable.
  • Portfolio rights. You grant us a non-exclusive, royalty-free right to reference your completed website in our portfolio, case studies, and marketing materials, unless you opt out in writing before launch.

8. Revisions

Your tier includes the number of revision rounds stated on our pricing page. A revision round is a single consolidated set of change requests you submit in writing. Changes requested after the final round are chargeable at our standard hourly rate, quoted in advance.

9. Warranties

We warrant that we will perform the services with reasonable skill and care in line with professional standards in the industry. We warrant that to the best of our knowledge the work we create is original and does not infringe third-party intellectual-property rights, except to the extent that the content is supplied by you.

Except as stated above, the services are provided on an "as is" basis. All other warranties, whether statutory, express, or implied, are excluded to the fullest extent permitted by law. In particular, we do not guarantee any specific search-engine ranking, appointment-booking volume, or commercial outcome.

10. Limitation of liability

Nothing in these Terms limits any liability that cannot legally be limited, including liability for death or personal injury caused by negligence, for fraud, or for fraudulent misrepresentation.

Subject to the paragraph above, our total aggregate liability to you in contract, tort (including negligence), misrepresentation, or otherwise arising in connection with your engagement is capped at the total fees paid by you to us under that engagement.

We will not be liable for any loss of profit, loss of goodwill, loss of business opportunity, loss or corruption of data, or any indirect or consequential loss, however caused.

11. Indemnity

You agree to indemnify us against any claim, loss, or cost arising from: (a) content you supply to us that infringes a third party's rights; (b) inaccurate claims about your qualifications, registrations, or clinical outcomes that you approve for publication; or (c) your breach of these Terms or the rules of your professional body.

12. Cancellation and refunds

Cancellation and refund rights are governed by our Refund & Cancellation Policy, which forms part of these Terms.

13. Confidentiality

We keep confidential any non-public information you share with us during an engagement, and use it only for the purpose of delivering the services. This obligation survives the end of the engagement for 3 years.

14. Data protection

Our collection, use, and disclosure of your personal data is governed by our Privacy Policy and PDPA Notice.

15. Termination

  • You may terminate an engagement at any time by giving us written notice; fees already paid remain subject to our Refund & Cancellation Policy.
  • We may terminate or suspend an engagement if you materially breach these Terms, fail to pay an invoice within 14 days of the due date, or ask us to publish content that would breach the rules of your professional body.

16. Governing law and jurisdiction

These Terms and any engagement under them are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore, except that we may bring proceedings in any court of competent jurisdiction to recover unpaid fees or to protect our intellectual property. Before starting court proceedings, the parties will first attempt to resolve any dispute by mediation at the Singapore International Mediation Centre.

17. Miscellaneous

  • Entire agreement. These Terms, together with your order and any written scope confirmation, form the entire agreement between us.
  • No waiver. A failure by either party to enforce any right does not waive that right.
  • Severability. If any clause is held unenforceable, the rest of the Terms remain in force.
  • Assignment. You may not assign or transfer your rights without our written consent. We may assign our rights and obligations to a successor entity in connection with a sale, merger, or reorganisation of our business.
  • Notices. Written notices to us should be sent to hello@drzelix.com; notices to you are sent to the email address in your onboarding form.
